Please read these Terms of Service carefully before accessing or using Reedroux services. By using a service, you agree to the terms applicable to that service, subject to mandatory rights and protections provided by applicable law.
1. Acceptance of Terms
These Terms of Service ("Terms") form an agreement between the user or customer and Reedroux Platforms LLC concerning access to and use of covered Reedroux websites, applications and services.
By creating an account, accessing a covered service or otherwise indicating acceptance, you agree to these Terms where they have been properly presented and accepted.
If you use a service on behalf of a company or organization, you represent that you have authority to act on its behalf.
Additional product-specific terms, service agreements or order forms may apply. Where an applicable signed agreement expressly conflicts with these Terms, that agreement will control to the extent of the conflict.
2. Service Provider
The service provider identified for these Terms is:

3. Our Services
Reedroux develops and operates technology-related products and services, which may include software applications, digital platforms, infrastructure systems, integrations and technical services.
Specific features, functionality, service limits, technical requirements and availability may differ by product.
Service descriptions, applicable order forms and product-specific documentation may provide additional information about individual offerings.
We may develop, update, modify or discontinue features, subject to applicable contractual commitments and legal requirements.
4. Eligibility and Accounts
You must have the legal capacity and authority required to enter into an agreement for the relevant service.
Where registration is required, you agree to provide accurate information and maintain the security of your account credentials.
You are responsible for activities performed through your account to the extent permitted by applicable law, except where responsibility rests with Reedroux or another party.
You should notify Reedroux promptly if you suspect unauthorized access or misuse of your account.
5. Acceptable Use
You agree to use Reedroux services lawfully and in accordance with applicable service documentation.
Unless expressly authorized, you must not:
- Use a service to conduct unlawful activities or infringe the rights of others.
- Attempt to gain unauthorized access to systems, accounts or networks.
- Distribute malware or malicious code.
- Intentionally interfere with the security, integrity or availability of services.
- Circumvent access controls, authentication mechanisms or technical restrictions.
- Use services for unauthorized spam, fraud or abusive activity.
- Misrepresent your identity or authorization in connection with a service.
We may investigate suspected misuse and take proportionate action, including restrictions or suspension, where permitted by applicable law and contractual obligations.
6. Intellectual Property
Reedroux websites, software, branding, documentation, interfaces and other original materials may be protected by copyright, trademark and other intellectual property laws.
Except where otherwise stated, ownership of Reedroux intellectual property remains with Reedroux or the relevant rights holder.
Subject to these Terms and any applicable service agreement, users receive only the rights necessary to access and use the relevant service.
Third-party and open-source components remain subject to their applicable license terms.
7. Customer Content
Certain services may allow users to submit, store, transmit or process information and content.
As between Reedroux and the customer, ownership of customer-provided content generally remains with the customer or its respective rights holders.
You represent that you have the necessary rights and permissions to provide content for processing through the relevant service.
You grant Reedroux the limited permissions reasonably necessary to host, transmit, process and otherwise handle such content for the purpose of providing the contracted service.
Additional data processing terms may apply where customer content contains personal information.
8. Payments and Billing
Certain Reedroux services may be offered on a paid basis.
Where applicable, prices, billing intervals, payment deadlines, renewal terms and cancellation conditions will be provided in the relevant order, checkout process or service agreement.
Customers are responsible for paying valid charges agreed to under the applicable contract.
Taxes, refunds and cancellation rights are governed by the relevant agreement and mandatory applicable law.
These general Terms do not, by themselves, establish an automatic subscription renewal or authorize charges that have not otherwise been agreed.
9. Service Availability
Reedroux aims to provide reliable technology services and maintain appropriate operational standards.
However, services may occasionally be affected by maintenance, technical failures, infrastructure incidents, third-party outages or circumstances outside reasonable operational control.
Unless a specific service level agreement or other binding commitment states otherwise, continuous or uninterrupted availability is not guaranteed.
Planned maintenance and incident communications may be provided through relevant service channels.
Any service credits or contractual remedies for downtime will be determined by the applicable service agreement.
10. Third-Party Services
Some Reedroux services may integrate with or depend on products, infrastructure or services operated by third parties.
Third-party services may be subject to separate agreements, privacy notices and usage restrictions.
Reedroux is not automatically responsible for independent third-party services, except to the extent required by applicable law or expressly agreed in a contract.
11. Suspension and Termination
Users may stop using services at any time, subject to applicable subscription, cancellation and contractual obligations.
Reedroux may suspend or restrict access where reasonably necessary to address serious security risks, unlawful activity, material violations of these Terms or other grounds permitted by an applicable agreement.
Where reasonably practicable and legally appropriate, notice and an opportunity to resolve an issue may be provided.
Termination does not automatically remove payment obligations already incurred or provisions intended to survive termination.
Handling and deletion of customer data following termination will depend on the relevant service agreement, applicable law and data retention requirements.
12. Disclaimers
To the maximum extent permitted by applicable law, and except where expressly agreed otherwise, services are provided on an "as available" basis.
Reedroux does not warrant that every service will be error-free, uninterrupted or suitable for every particular purpose.
Nothing in these Terms excludes warranties, guarantees or other protections that cannot lawfully be excluded.
13. Limitation of Liability
To the extent permitted by applicable law, Reedroux will not be liable for indirect, incidental or consequential losses arising from the use of covered services where such exclusions are legally enforceable.
Any contractual financial liability cap must be established in an applicable agreement and interpreted in accordance with governing law.
Nothing in these Terms limits liability where doing so would be unlawful, including liability that cannot be excluded under applicable consumer protection or other mandatory laws.
14. Indemnification
To the extent permitted by applicable law and any governing service agreement, business customers may be responsible for certain third-party claims arising from unlawful content, misuse of services or violations of third-party rights.
The scope of any indemnification obligation, including applicable procedures and limitations, must be determined under the relevant contractual terms.
15. Privacy and Data Protection
Personal information processed in connection with Reedroux services is subject to applicable data protection laws and relevant privacy notices.
Please review our Privacy Policy for information about personal data processing and privacy rights.
Additional data processing agreements may apply to services provided to business customers.
16. Governing Law
Unless an applicable agreement provides otherwise, these Terms are intended to be governed by the laws of the State of California, United States, without regard to conflict-of-law principles.
This choice of law does not deprive consumers of mandatory legal protections that apply under the laws of their country of residence.
Disputes will be handled in accordance with applicable law and any valid jurisdiction provisions in the relevant service agreement.
17. Changes to These Terms
Reedroux may update these Terms to reflect changes in services, business operations or applicable legal requirements.
Updated Terms will be published with a revised update date. Where required by law or an applicable agreement, users will receive appropriate notice and an opportunity to review material changes.
Changes will not retroactively remove rights or remedies that cannot lawfully be modified.
